Our Client
Our client is the private equity arm of a large global asset manager.
Key Responsibilities
- Manage corporate records, including minute books and entity databases;
- Track and document flow of funds, including capital contributions, dividends, return of capital distribution, transfer of interest, ownership changes, and governance updates;
- Draft and review resolutions and legal documents supporting transactions, financings, and restructurings;
- Assist with entity formation of entities and dissolution processes;
- Liaise with internal teams, legal counsel, and external advisors;
- Coordinate annual filings, corporate searches, and registrations (Canada and U.S.);
- Support banking setup, including KYC and account opening requirements; and
- Assist with ongoing compliance, reporting, and regulatory filings.
